Joining Paragon Club is complimentary and effortless.
- Download the Paragon Club app (iOS 15.1+ or Android 8+) from the App Store or Google Play.
- Register with a unique mobile number and a valid email address.

Am I eligible to sign up for the Paragon Club programme?
Membership is available for individuals aged 18 years or above who reside in any of the following countries/regions: Singapore, Australia, Bangladesh, Canada, China, Hong Kong, India, Indonesia, Japan, Malaysia, Myanmar, New Zealand, Philippines, South Korea, Taiwan, Thailand, Vietnam. Each individual may hold one (1) Paragon Club account only. Membership and all associated benefits are strictly non-transferable.
Why do I need both my mobile number and email address?
Your mobile number uniquely identifies your Paragon Club account.
Your email address is used for account recovery and receiving important membership updates.
Shared mobile numbers (including those previously used by another member) can not be utilised and will not be recognised.
I am not receiving OTP messages. What should I do?
Make sure your mobile number or email address is entered correctly. Confirm that your device and mobile plan can receive SMS messages and check your email junk/spam folders if the email does not appear. Disable SMS‑blocking apps or settings. If the issue persists, please visit the Concierge desk at Paragon or email paragonclub@straitsproperties.com.sg.
How do I log-in if my mobile number has changed?

What are the membership tiers?
There are 4 membership tiers that comprise the Paragon Club programme:
– Premier: Base tier upon sign-up with no minimum spend required.
– Prestige: Qualify with a minimum of $25,000 nett spend within 12 months.
– Platinum: Qualify with a minimum of $100,000 nett spend within 12 months.
– Pinnacle: Qualify with a minimum of $250,000 nett spend within 12 months.
Upon ascension of your membership tier, your qualifying spend resets to $0, and a new 12‑month membership cycle will commence. Members who do not meet the required minimum spend corresponding to their current tier will be downgraded at the end of the membership cycle.

Is there a birthday benefit?

Birthday points multiplier cannot be stacked with membership tier multiplier.
How are points calculated?
Points earned per $100 nett spend (or $500 for supermarkets/enrichment centres):
– First block per day earns the higher “first block” rate

Members may accumulate a maximum of 50,000 base points per membership cycle. There is no cap on bonus points awarded through promotions.
How do I earn points?
– Present your membership QR code upon payment.
– Combine same-day receipts to reach the minimum $100 nett spend. A minimum spend of $20 is required per receipt.
– Supermarket and enrichment centre transactions require a minimum $500 same-day nett spend to qualify.
– Points cannot be earned for the following transactions: voucher payments (voucher-funded portion), gift cards, cash cards, stored value top-ups, selected tenants, Paragon Medical, banks/ATMs, money changers, and atrium non-mall vendors.
Points will be credited within 21 working days after validation.
SRPMS may adjust or deduct points for invalid or suspicious transactions.
Where can I earn points?
Members can earn points at all participating stores except the following:
– Paragon Medical
– Banks/ ATMs
– Money changer
– Atrium vendors who are not mall tenants
– Selected stores who are not participating in the programme

What transactions are not eligible for points?
Points will not be awarded for:
– Voucher funded portions of purchases
– Gift cards and stored value cards
– Cashcards or stored value top-ups
– Deposit receipts
– Instalment receipts that do not reflect full payment
– Discounted or promotional receipts at non-participating stores
– Purchases not supported by valid receipts
Can I submit receipts from purchases made before becoming a Paragon Club member?
No, only receipts dated on or after your membership activation date are eligible for the earning of points.
When will my points expire?
Points expire 12 months from the month of issuance, on a rolling basis. To illustrate, points earned in January 2026 will expire on 31 December 2026.
Where can I check the balance and expiry date of my membership points?
Within the Paragon Club app, tap ‘e-Wallet’ tab to view your balance and membership points expiry.
Is there a limit to the number of points I can earn?
Members can earn up to a maximum of 50,000 base points per membership cycle. Once this limit is reached, no additional base points will be awarded for eligible transactions until the next cycle commences.
However, bonus points earned through approved promotions are not subject to the maximum limit, and you will continue to receive these, where applicable.
Is there a limit to the number of transactions I can accumulate to earn points?
There is no limit to the number of transactions you can submit for point accumulation each day.
Multiple same-day transactions can be combined to meet the minimum qualifying spend of $100 nett (or $500 nett for super markets and enrichment centres).
Each individual transaction must have a minimum of $20 nett spend to be eligible.
Can I transfer or share my points or membership?
No. Memberships and points are non-transferable and cannot be shared.
What if my points are missing or incorrect?
In the event the app or scanning function is unavailable, members must present the original receipt(s) at the Concierge desk, located on Level 1 of Paragon within 7 days of purchase.
For inaccurate issuance of points, please return to the store for same-day errors. If 7 days have passed since the date of purchase, please seek assistance at the Concierge desk.
What can I redeem my points for?
Points may be exchanged for rewards, privileges and deals using the Paragon Club app. Depending on your corresponding membership tier, rewards and privileges include shopping and dining vouchers, as well as parking benefits.
Where can I view my e-Vouchers?
Navigate to the e-Wallet tab on the mobile app and tap on the e-Voucher tab to view the available e-Vouchers in your account.
How do I utilise my other shopping or dining e-Vouchers?
You can use your e-Vouchers directly from the Paragon Club app
- Go to the e-Wallet tab
- Select the e-Voucher you wish to use
- Tap “Use Now” to generate the QR code
- Present the QR code at the participating store for verification and redemption.
Once an e-Voucher is submitted for use, it is considered redeemed. e-Vouchers that been utilised cannot be refunded or reversed.
Can I combine e-Vouchers with in-store promotions?
Terms and conditions for each voucher are available in-app under the respective voucher listing. As store policies may vary, please check directly with the participating store.
What if the store cannot scan my e-Voucher?
Please ensure that your mobile screen brightness is set to the highest level, as low brightness can affect QR code recognition. If the QR code still cannot be scanned, please reach out to the Concierge team for further assistance.
Can used e-Vouchers be refunded?
No. E-Vouchers that have been used at participating stores or have expired are strictly non-refundable.
What are parking rewards?
Members may redeem points for:
– Parking Credits (CP$): 1 point = $0.40 in parking credits
– Parking Vouchers: Complimentary parking hours (tier-dependent)
Parking credits expire 12 months from redemption.
Deductions will be applied in the following sequence: Parking Vouchers, followed by Parking Credits, and thereafter IU stored value.
Members may register up to 3 IU numbers, with only one IU active at any given time.
How do I update my vehicle IU number?
Update your IU details in the Paragon Club app under ‘Carpark’. Only one IU can be active at any given time.
Where can I view my parking credits or vouchers history?
Transactions relating to parking credits and voucher redemption or usage can be viewed in the app under the ‘Carpark’ tab.
Can parking credits or deductions be reversed?
No, parking credits and/or parking vouchers that have been deducted or expired are non-refundable.
What privileges or benefits can members enjoy at the Paragon Club Lounge?
The lounge is accessible exclusively for Prestige, Platinum and Pinnacle members.
– Operating hours: 11 am to 9 pm, daily
– One accompanying guest is permitted per member
– Complimentary beverages (subject to availability)
– Platinum (up to 2 sets per month) and Pinnacle (up to 4 sets per month) members can enjoy complimentary afternoon tea between 3pm and 5pm at the Paragon Club Lounge.
– Prestige members can redeem 1 afternoon tea set per month with just 30 points.
– Members may reserve our meeting rooms and suite within the Paragon Club Lounge for private discussions and relaxation.
Behavioural and safety rules apply. The lounge is under CCTV surveillance. For more details relating to the Paragon Club Members’ Lounge, please visit the ‘Members Lounge’ tab in-app.
Do I need a reservation to enter the Paragon Club Lounge?
No reservation is required. Entry is subject to member tier and the capacity of the lounge. Simply flash your member’s QR code at the lounge for entry.
How do I delete my account?
If you would like to delete your account, you may tap ‘Edit Profile’ and thereafter ‘Delete Account’ via your app or email paragonclub@straitsproperties.com.sg to submit your request.
Upon deletion of your account,
– All personal details, points, e-Vouchers, parking credits, and transaction history associated with the account are permanently erased and cannot be recovered. Throughout the 6-month lockout period, the associated mobile number will be masked and will not be recognised by the system for new registrations. For transparency and security, the account, along with its status history (for instance, registration date and date of deletion), will be securely stored in an inactive state with encryption, specifically for audit and verification purposes only. New memberships can only be registered after the 6-month lockout period.
– Any points accumulated in the members’ accounts will be forfeited upon termination of membership for any reason whatsoever and no compensation will be offered for forfeited points.
– Members with memberships terminated previously due to inactivity will be required to re-join the programme as a new member.
My app is not loading or loading very slowly. What should I do?
If you experience slow loading, please ensure that you have an active internet connection with adequate signal strength. You may attempt to log in again once the connection improves.
I need assistance with my app access. What should I do?
If you are experiencing an issue with accessing the app, please contact us at paragonclub@straitsproperties.com.sg for technical support.
I am prompted to update the Paragon Club app. Will my points and existing information be deleted when I update the Paragon Club app?
All existing account information and points earned will remain the same.
I am unable to sign up or log-in to the app. What should I do?
There are several reasons you may not be able to log in to your account:
- Check your internet connection and ensure you have a strong signal. You may try logging in again once the connection improves.
- Ensure your login credentials are correct.
- Make sure you have downloaded the latest version of the Paragon Club app from the App Store or Google Play.

General
- The Paragon Club rewards programme (“Paragon Club”) is managed by Straits Retail Property Management Services Pte Ltd (“SRPMS”) as the property manager of Paragon, located at 290 Orchard Road, Singapore 238859. This programme will allow members to earn and redeem points for rewards at Paragon.
- Membership and participation in the programme are subject to all following terms and conditions.
- SRPMS reserves the right to amend, modify or supplement these Terms and Conditions at any time by updating the terms and conditions on the Paragon website at www.paragon.com.sg without prior notice. Any continued participation in the Paragon Club after the amendment of these terms and conditions shall be deemed to be acceptance of the amended terms and conditions by the member. If the member does not agree to the amended terms and conditions, the member shall have the right to terminate his or her membership.
- By signing up for the Paragon Club membership, the member is deemed to have read, understood and agree to all terms and conditions.
Membership Eligibility
- Applicants must be at least 18 years old to be eligible for membership.
- Each local applicant must have a unique Singapore-registered mobile number for application and log in of membership. For tourists, each applicant must have a unique registered mobile number and a valid email address for application and log in of membership. The use of shared mobile numbers that were previously registered by existing members is not permitted.
- Eligible members can sign up for membership using the Paragon Club app available for download from the App Store for iPhones or iPads and Google Play for Android devices.
- The app is available for devices running on iOS 15.1 and Android 8 and above within Singapore, Malaysia, Indonesia, Thailand, Vietnam, Myanmar, Philippines, Bangladesh, India, Hong Kong, Taiwan, China, South Korea, Japan, Australia, New Zealand, and Canada.
- Members are limited to one account each, and accounts cannot be transferred. Paragon Club benefits are only valid at participating stores located at Paragon. The list of participating stores is available here.
- SRPMS reserves the right to impose an annual membership fee, without prior notice. Members who do not agree to such charge may terminate their membership by giving at least 14 days prior written notice to SRPMS.
- Members must update their membership profiles if there are any changes in their particulars.
- SRPMS reserves the right (i) to reject any membership application without assigning any reason therefor, (ii) to require verification of identity and eligibility at any time, and (iii) to terminate any Paragon Club membership in the event of a breach of these terms and conditions.
Membership Tiers & Benefits
- The Paragon Club programme consists of four membership tiers – Premier, Prestige, Platinum and Pinnacle. Upon successful account registration, members will be automatically assigned the Premier membership tier. Members who meet the qualifying spend requirement for the next membership tier will be ascended automatically, with the tier ascension taking effect on the following day. Upon ascension to the next tier, the member’s nett qualifying spend will reset to $0, marking the start of a new 12-month membership cycle.
- At the conclusion of each membership cycle, members who do not meet the minimum qualifying spend for their current tier will be reassigned to the next lower tier in accordance with the tier qualification criteria.
- Each membership tier enjoys a corresponding tier points multiplier, which determines the number of Paragon Club points earned on eligible transactions.

Issuance of Paragon Club Points
- Paragon Club points can only be awarded to members who scan the membership QR code displayed in the Paragon Club app at the point of payment at participating stores in Paragon. Members who fail to do so will not be entitled to earn points for their transactions.
- Points are only awarded for qualified purchases of goods and/or services made at participating stores within Paragon. Purchase of vouchers, Gift Cards, cash cards, or stored value card top-up is not eligible for points issuance.
- Transactions paid, whether in full or in part, using any form of voucher do not earn points on the voucher-funded portion of the transaction. This includes, but is not limited to mall vouchers, mall e-Vouchers, Paragon Club reward e-Vouchers (with cash value), eCapitaVouchers, tenant-issued in-store vouchers, e-vouchers, and CDC Vouchers. (For example, a $200 transaction inclusive of $20 voucher would be awarded based on $180 spent, and 1 Paragon Club point will be issued)
- Criteria for points earning are determined by SRPMS and participating stores at Paragon.
- Purchases from the following tenants at Paragon will not be eligible for the earning of points:
1. Paragon Medical
2. Banks / ATMs
3. Money changers
4. Atrium vendors who are not mall retailers
5. Selected retailers initially participating in the Paragon Club programme may subsequently withdraw from the programme. For the avoidance of doubt, no prior notice will be provided to members in respect of such non-participating retailers.
- Points accumulated by members will be credited into their account within 21 working days, or such other period as determined by SRPMS, once transactions are verified as valid.
- SRPMS reserves the right to, in its sole and absolute discretion, cancel, delete and/or deduct points that are credited into the member’s account, without prior notice.
- SRPMS reserves the right to, in its sole and absolute discretion, deduct, delete, cancel, reject and/or refuse to award points for any purchase, if SRPMS deems any transaction to be doubtful or not genuine, without prior notice.
- Points credited into the member’s accounts are not redeemable for cash and cannot be transferred between accounts.
- Points balance can be checked using the app or at the Concierge desk at Level One of Paragon.
- Members are eligible to earn points with every $100 nett spend at participating stores in a single day. Multiple same-day transactions may be combined to meet the $100 nett minimum spend, provided that each individual transaction has a minimum nett value of $20 to qualify.
- For transactions made at supermarkets and enrichment centres, a minimum same day nett spend of $500 is required to qualify for points accumulation.
Points earned will be calculated based on the member’s current membership tier multiplier, with higher tiers receiving higher point-earning rates.
- Each member may accumulate up to a maximum of 50,000 base points within a single membership tier. This limit applies only to base points and excludes any bonus points awarded through promotional campaigns. Once the maximum base points limit is reached, only bonus points from eligible promotions will continue to be awarded.

- Points credited into the member’s account will expire 12 months after the date of issue on a rolling basis. SRPMS may, in its sole and absolute discretion, amend the validity period without prior notice.

- In the event of a service interruption of the app or QR code scanning at the retailers, members can approach the Concierge desk at Level One of Paragon, with their purchase receipt(s) within 7 days from (and including) the date of the purchase.
- Members may earn points solely in respect of their own purchases.
- For avoidance of doubt, a member may only earn points for purchases that are made after he or she has signed up for the Paragon Club membership. Any request to earn points for purchases that are made prior to signing up for the Paragon Club membership shall be reviewed by SRPMS on a case-by-case basis and SRPMS may agree to or reject such requests in its sole and absolute discretion, and without providing any reason.
- SRPMS reserves the right to, in its sole and absolute discretion, determine the list of rewards, prizes and number of points required for the redemption without prior notice.
- Rewards are subject to availability, on a first-come, first-served basis.
- There will be no warranty or representation or liability on the part of SRPMS for the rewards offered and SRPMS shall not be liable for any defects, damages or issues howsoever arising from the redeemed rewards.
- Any disputes shall be settled directly between the rewards supplier and the member
- Redeemed rewards are not exchangeable for cash or points. Refunds of rewards are strictly not permitted. Rewards must be redeemed within 6 months from the redemption date unless stated otherwise. However, rewards are subject to availability and SRPMS reserves the right, at its sole and absolute discretion, to substitute unavailable rewards with rewards that are of approximate value or similar nature/type.
Welcome Benefits
- SRPMS reserves the right to, in its sole and absolute discretion, issue Welcome Benefits in the form of points to members upon successful ascension into the Platinum and Pinnacle membership tiers.
- As part of this discretionary benefit, SRPMS may award 500 points (worth $200) to Platinum members and 1,250 points (worth $500) to Pinnacle members upon ascension.
- Points will be automatically credited to the member’s account within 14 working days from the date of ascension. The amount of complimentary welcome points may vary from year to year and shall be determined by SRPMS in its sole and absolute discretion.
Birthday Benefits – Birthday Gift
- SRPMS reserves the right to, in its sole and absolute discretion, award Platinum and Pinnacle members a Birthday Gift e-Voucher on the first day of the member’s birthday month as part of their exclusive Birthday Rewards.
- Each e-Voucher entitles the member to one (1) Birthday Cake redemption. Members must contact the Concierge at least 3 days before the desired collection date to redeem at the designated store in Paragon.
- To change the collection date, members must contact Concierge at least 3 days in advance.
- Upon confirmation of the collection date, the e-Voucher will be deemed utilised. Failure to collect the cake on the confirmed date will result in the e-Voucher being forfeited, with no replacement or refund to be extended.
Birthday Benefits – Birthday Bonus Points
- SRPMS reserves the right to, in its sole and absolute discretion, award members Birthday Bonus Points for the first eligible transaction of the birthday month, as defined in the applicable table.
- Birthday points multiplier does not apply in conjunction with the regular membership tier points multiplier.

Example: A Platinum member who spends two same-day transactions at participating stores during their birthday month will earn points based on the following calculations.

Carpark Rewards
- Carpark Rewards allow members to redeem Paragon Club points for either Parking Credits (CP$) or Parking Vouchers, depending on their membership tier, to offset parking charges.
- Parking Credits (CP$) refer to monetary credits that members may use to directly offset payable parking charges at the rate of 1 Paragon Point = $0.40 in Parking Credits.
- Parking Vouchers refer to complimentary parking benefits issued in the form of complimentary parking hours, which may be used to offset the corresponding number of hours from the member’s parking charges.
- Redeemed Parking Credits are valid for 12 months from the month of redemption (on a rolling basis).

- For the payment of Carpark charges, a member’s Parking Vouchers in their Paragon Club account will be deducted first, followed by any available Parking Credits (CP$). Any remaining balance will then be deducted from the stored-value card in the vehicle’s IU.
- Each member may register up to 3 IU numbers in their account, with only one active IU number at any given time. Members may activate the IU number of their choice using the Paragon Club app.
- Members must ensure that the correct IU number corresponding to the vehicle parked at Paragon is activated. SRPMS will not process any refund of Carpark charges in the event of incorrect IU number activation.
- IU numbers entered by members must be unique and cannot be shared with other members.
- Parking benefits can only be used on vehicles that are registered in Singapore with a valid IU number.
Paragon Club Members’ Lounge
- Access to the Paragon Club Members’ Lounge (the “Lounge”) is exclusive to Prestige, Platinum, and Pinnacle members, each of whom may bring one (1) accompanying guest per visit, from 11am to 9pm daily. To enter the lounge, each member must present a valid membership QR code available via the app.
- Members and their guests must conduct themselves appropriately. SRPMS reserves the right to refuse entry or request removal from the Lounge at its sole discretion for any misconduct, safety concerns, or violations of these Terms and Conditions.
- Children under 12 years old must be accompanied and supervised by a parent or guardian at all times.
- The Lounge is under CCTV surveillance, and SRPMS is not responsible for any lost, stolen, or damaged personal property. Members should safeguard their belongings at all times.

- Complimentary Beverages – Complimentary beverages are provided on a first-come, first-served basis, and are subject to availability. Beverages are for on-site consumption only and may not be removed from the premises of the lounge.
- Complimentary Afternoon Tea
- Exclusive for Platinum and Pinnacle members only. Afternoon tea e-Vouchers will be credited to the member’s e-Wallet on the first day of each month, at SRPMS’s sole discretion.
- Afternoon tea is available from 3pm to 5pm daily. Kindly note that the afternoon tea items are presented in a set and cannot be substituted or modified.
- Members are encouraged to check for any allergens before consumption, as individual dietary sensitivities may vary. Members acknowledge and accept responsibility for allergens or adverse reactions from consumption.
Termination of Paragon Club Membership
- SRPMS is entitled to terminate the membership if a member is found to be submitting purchases by another person or other fraudulent means without prior notice.
- SRPMS may terminate memberships and refuse participation at its sole and absolute discretion, without providing reasons or prior notice
- SRPMS is entitled to terminate memberships that are inactive for 3 years or more, without prior notice. Inactive memberships are those that have not submitted any transaction and accessed their accounts using the Paragon Club app. All personal data and any rewards points accumulated will be deleted without prior notice and no compensation will be offered for deleted points.
- Members may terminate their membership via the “Delete Account” function in-app or by contacting us at paragonclub@straitsproperties.com.sg
- Once a membership is deleted, all personal details, points, e-vouchers, parking credits, and transaction history associated with the account are permanently erased and cannot be recovered. Throughout the 6-month lockout period, the associated mobile number will be masked and will not be recognised by the system for new registrations. For transparency and security, the account, along with its status history (for instance, registration date and date of deletion), will be securely stored in an inactive state with encryption, specifically for audit and verification purposes only. New memberships can only be registered after the 6-month lockout period.
- Any points accumulated in the members’ accounts will be forfeited upon termination of membership for any reason whatsoever and no compensation will be offered for forfeited points.
- Members with memberships terminated previously due to inactivity will be required to re-join the programme as a new member.
- SRPMS may, suspend or terminate the Paragon Club programme, without prior notice and without compensation or liability to any party.
Personal Data
- Members must provide current, accurate, truthful, and complete personal data as requested, and are responsible for ensuring the accuracy and legality of all data they submit. Where members provide the personal data of any third parties in connection with their participation in the Paragon Club programme, members represent and warrant that they have obtained all necessary consent and authorisation from such third parties for the collection, use, and disclosure of their personal data in accordance with the Privacy Policy.
- SRPMS may, at its sole and absolute discretion, suspend or terminate membership if the data given is not correct or is incomplete, without prior notice.
- By signing up for the membership, members agree and consent to the terms of the Privacy Policy, as may be amended from time to time. The Privacy Policy is incorporated into these Terms and Conditions by reference.
- Members further consent to SRPMS and its related entities, affiliates and subsidiaries (collectively, “Straits Properties”), as well as their respective agents, business partners and service providers (who may be located outside Singapore), collecting, using, disclosing and processing the members’ personal data, and sharing such personal data among themselves for the purposes of administering and providing the Paragon Club programme and for the following purposes:

- Identity verification
- Administer and manage the rewards programme (including but not limited to the deduplication of members’ data)
- Responding to members’ queries and feedback
- Sending promotional information
- Profiling and statistical analysis to improve services provided to members
- Market research
- While SRPMS will take reasonable steps to accurately record personal data, members shall also provide accurate and complete personal data and keep them updated at all times.
- Members must contact the Data Protection Officer of SRPMS at dpo@cuscaden.com.sg if they:
– wish to withdraw their consent on the usage of their personal data;
– have any questions or complaints in relation to their personal data; or
– wish to obtain access and make corrections to their personal data.
- SRPMS may not be able to continue providing the Paragon Club rewards programme when member withdraws consent to any or all use of his/her personal data.
- Members agree that their consent granted for the Paragon Club programme supplement but do not supersede nor replace any other consent previously granted to any entity in the CPIPL Group. Withdrawal of consent also does not affect any other consent granted to any entity in the Straits Properties.
- SRPMS may share aggregated and anonymised information with third parties, such as retailers, business and marketing partners for use in marketing, promotional and other activities.
Exclusion of Liability
- SRPMS will not be liable for any loss, damage, inconvenience, cost and expense of any nature (including without limitation for any act, omission, neglect or wilful default on the part of its agents, contractors, employees, etc.) which in any way may be suffered or incurred by member or by any other person arising out of or in connection with the Paragon Club rewards programme.
- To the fullest extent permitted by law, SRPMS will also not be liable for any loss, injury, death, damage, bodily harm, costs and expenses suffered by members or any other persons that result from the use or consumption of any reward redeemed, including any indirect, incidental, consequential or punitive damages arising from members’ participation in the Paragon Club rewards programme.
- Members agree to indemnify SRPMS from any loss, damage, liability, cost and expense (including legal costs and disbursements on a full indemnity basis) arising from member’s own misuse of the Paragon Club rewards programme, breach of the terms and conditions or fraudulent activity.
Severability
- If any provision of these terms and conditions is found to be illegal, void or unenforceable under any law that is applicable hereto or if any court of competent jurisdiction in a final decision so determines, these terms and conditions shall continue in force save that such provision shall be deemed to be deleted.
Relationship of Parties
- Nothing in these terms and conditions shall constitute or be deemed to constitute an agency, partnership or joint venture between SRPMS and members and neither party shall have any authority to bind the other in any way.
Waiver
- No waiver of any rights or remedies by SRPMS shall be effective unless made in writing and signed by an authorised representative of SRPMS.
- A failure by SRPMS to exercise or enforce any rights conferred upon it by these terms and conditions shall not be deemed to be a waiver or variation of any such rights or operate so as to bar the exercise or enforcement thereof at any subsequent time or times.
Assignment
- Members may not assign these terms and conditions or any of the rights or obligations under these terms and conditions to any party.
- SRPMS may, by notice in writing posted on the Paragon website, assign all of its rights and interests relating to or in connection with these terms and conditions and/or the Paragon Club programme to a wholly-owned subsidiary of Cuscaden Peak Investments Private Limited and/or its related entities, affiliates and subsidiaries (the “Transferee”) without members’ consent.
- Without prejudice and in addition to the aforementioned right, SRPMS may, by notice in writing posted on the Paragon website (the “Notification”), transfer and/or novate all of its rights, interests, obligations and liabilities relating to or in connection with these terms and conditions and/or the Paragon Club programme to the Transferee, and members shall not withhold their consent thereto. For the avoidance of doubt, members hereby consent to (a) the assignment of all rights of SRPMS relating to or in connection with these terms and conditions and/or the Paragon Club programme to the Transferee, (b) the assumption by the Transferee of all liabilities of SRPMS relating to or in connection with these terms and conditions and/or the Paragon Club programme, (c) the release of all obligations of SRPMS relating to or in connection with these terms and conditions and/or the Paragon Club programme, and (d) the Transferee taking the place of SRPMS as if it were named in all documents relating to or in connection with these terms and conditions and/or the Paragon Club programme as a party thereto in place of SRPMS, in each case with effect from such effective date as may be informed in the Notification.
Force Majeure
- No party shall be liable for any failure to perform its obligations under these terms and conditions if the failure results from a Force Majeure Event (defined below), provided always that whenever possible, the affected party will resume that obligation as soon as the Force Majeure Event occasioning the failure ceases or abates.
- For purposes of these terms and conditions, a “Force Majeure Event” is an event which is a circumstance or event beyond the reasonable control of a party which affects the general public in that party’s country or in the territory, and which results in the party being unable to observe or perform on time an obligation under these terms and conditions. Such circumstance or event shall include industrial action or labour disputes, civil unrest, war or threat of war, criminal or terrorist acts, government action or regulation, telecommunication or utility failures, power outages, fire, explosion, natural physical disasters, epidemic, pandemic, quarantine restrictions, and general failure of public transport.
Rights of Third Parties
- A person or entity who is not a party to these terms and conditions shall have no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any term of these terms and conditions, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description.
Governing Law & Jurisdiction
- These terms and conditions and all matters relating to members’ participation in the Paragon Club programme shall be governed by and construed in accordance with the laws of Singapore without giving effect to any principles of conflicts of law.
- Members hereby agree to submit to the non-exclusive jurisdiction of the Singapore courts.
